Welcome to UEDNO Control Panel. These Terms of Service ("Terms") govern your access to and use of our platform, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
2. Accounts & Security
To use the Service, you must create an account with accurate and complete information. You are responsible for:

- Notifying us immediately of any unauthorized access
- Ensuring that your team members comply with these Terms
We implement security measures including encrypted credential storage, session management, and audit logging. However, you remain responsible for the security of servers and systems you connect to the Service.
3. Subscriptions, Billing & Taxes
The Service offers subscription plans as described on our Pricing page. By subscribing to a paid plan, you agree to pay all applicable fees.
- Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis.
- Overage Charges: Usage beyond plan limits is billed at the rates specified on the Pricing page.
- Taxes: Prices exclude applicable taxes. You are responsible for all taxes associated with your use of the Service.
- Payment Methods: We accept major credit cards and other payment methods as indicated at checkout.
- Failed Payments: If payment fails, we may suspend or terminate your access until payment is received.

4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service to manage servers involved in illegal activities
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or servers connected to it
- Use the Service to transmit malware, spam, or harmful content
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Resell or redistribute the Service without our written consent
- Exceed usage limits in a way designed to circumvent billing
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
5. Service Availability & Changes
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For material changes that adversely affect your use, we will provide reasonable notice via email or in-app notification.
6. Data & Ownership
Your Data: You retain ownership of all data you submit to the Service, including server configurations, credentials, and account information. We do not claim ownership of your content.
License to Us: You grant us a limited license to access and process your data solely to provide the Service, including storing encrypted credentials and executing commands on your behalf.
Data Handling: We handle your data in accordance with our Privacy Policy. Server credentials are encrypted at rest and only accessed when performing authorized operations.
7. Security
We implement industry-standard security measures including:
- Encryption of sensitive data at rest and in transit
- Role-based access control (RBAC)
- Audit logging of all significant actions
- Secure session management with CSRF protection
- Rate limiting to prevent abuse
You are responsible for the security of your own servers and for configuring appropriate access controls within the Service.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for the operation, security, or availability of third-party servers you connect to the Service.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIAPASON LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Termination
You may terminate your account at any time by contacting us at support@uedno.com or through your account settings.
We may terminate or suspend your account immediately, without prior notice, for:
- Violation of these Terms
- Non-payment of fees
- Illegal or harmful activity
- Requests by law enforcement
Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our data retention policies.
11. General Provisions
Governing Law: These Terms are governed by the laws of United States, without regard to conflict of law principles.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Diapason LLC regarding the Service.
Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
